1.    User Responsibility for Accurate Information 

The customer is solely responsible for providing accurate and complete information, including the machine’s make, model, year, and the specific issue or alarm code. CNC Virtual Assist LLC is not liable for errors, inaccuracies, or incomplete recommendations regardless of whether the information provided by the customer is accurate, inaccurate, or insufficient.

 

2.    No Guarantee of Accuracy, Resolution, or Safety 

 

CNC Virtual Assist LLC strives to provide useful and reliable guidance; however, we make no guarantees regarding the following:

  • The accuracy or completeness of the information provided in the CNC Virtual Assist report.

  • The ability of the information provided to resolve the issue.

  • The safety or lack of harm to any person or machine as a result of following the provided recommendations

 

Disclaimer: The CNC Virtual Assist service is provided on an “AS-IS” basis without any guarantees or warranties, expressed or implied.

 

3.    Limitation of Liability 

CNC Virtual Assist LLC shall not be liable for:

  • Any direct, indirect, incidental, or consequential damages arising from the use or misuse of the CNC Virtual Assist report.

  • Any machine damage, downtime, or performance issues resulting from the implementation of the recommendations provided.

  • Injuries, harm, or death to any individual or personnel performing any actions based on the CNC Virtual Assist report.

  • The voiding of any manufacturer warranties resulting from the customer’s use of the CNC Virtual Assist service.

 

The customer assumes full responsibility for any actions taken based on the provided information.

 

4.    Source Disclaimer 

CNC Virtual Assist LLC provides guidance to help diagnose potential issues with CNC machines based on the information provided by the customer. Our service includes insights generated by a combination of human and artificial intelligence. This service is not a replacement for professional on-site diagnostics or repairs.

CNC Virtual Assist LLC does not claim ownership of any information, recommendations, or insights provided in its reports. The service fee covers the time, expertise, and resources required to compile and present the information based on the details submitted by the customer. CNC Virtual Assist LLC does not warrant that the information provided is original, proprietary, or free from third-party intellectual property claims. It is the customer’s responsibility to verify the applicability, legality, and use of any provided recommendations in compliance with relevant intellectual property laws, manufacturer agreements, and industry standards. CNC Virtual Assist LLC shall not be held liable for any claims, disputes, or damages arising from the use of provided information.

 

 

5.    Payment and Refund Policy 

The $100 fee for the CNC Virtual Assist report covers the creation and delivery of a single troubleshooting report based on the information provided by the customer. Once the report is delivered, no additional feedback, follow-up, or back-and-forth discussions are included in this fee. The $100 fee is non-refundable, even if the recommendations provided do not resolve the issue, except in the following cases:

  • If CNC Virtual Assist LLC determines that it cannot provide assistance based on the information provided, the customer will be notified within 24 business hours and a full refund will be issued.

  • If CNC Virtual Assist LLC fails to deliver the CNC Virtual Assist report within the promised 24 business hours (after receiving payment) due to reasons within its control, a refund will be provided.

 

6.    Indemnification 

The customer agrees to indemnify and hold CNC Virtual Assist LLC harmless from any claims, damages, or liabilities resulting from:

  • The use or misuse of the CNC Virtual Assist report.

  • Any machine damage or personal injury resulting from following the recommendations.

  • Misinterpretation of the information provided.

  • The voiding of any manufacturer warranties resulting from the implementation of recommendations provided by the CNC Virtual Assist service.

7.    Limitation of Scope 

The service is limited to providing potential diagnostics and possible solutions based on the described issue. It does not include step-by-step repair guidance, hands-on diagnostics, or on-site support. Additionally, once the CNC Virtual Assist report has been provided, the customer will not have direct access to the technicians for follow-up questions or discussions regarding the report.

8.    Force Majeure 

CNC Virtual Assist LLC shall not be held liable or provide refunds for delays or failures in delivering the service due to events beyond its control, including but not limited to natural disasters, power outages, and internet failures.

9. Legal Acquisition and Export Compliance 

The customer warrants that any machine for which CNC Virtual Assist LLC provides any troubleshooting assistance has been legally acquired and, if imported, has been imported in compliance with all applicable laws and regulations of the importing country. If the machine was exported from the United States, the customer further warrants that it was exported legally and in accordance with U.S. export laws, including but not limited to regulations set forth by the Bureau of Industry and Security (BIS) and the U.S. Department of Commerce.

The customer acknowledges and agrees that CNC Virtual Assist LLC is not responsible for verifying the legality of the machine’s acquisition or export status. If CNC Virtual Assist LLC becomes aware of any concerns regarding the legality of the machine, it reserves the right to suspend or terminate the troubleshooting service without refund. Additionally, the customer assumes full responsibility for ensuring the machine’s use complies with any restrictions related to U.S. national security, military applications, or prohibited end uses, including but not limited to the manufacturing of weapons of mass destruction or nuclear-related components.

By using the CNC Virtual Assist service, the customer agrees to indemnify and hold CNC Virtual Assist LLC harmless from any claims, penalties, or legal actions arising from the customer’s failure to comply with legal acquisition or export requirements.

10. Language and Translation Disclaimer 

CNC Virtual Assist LLC’s troubleshooting reports may be translated from English to Spanish to accommodate customers in various regions. While CNC Virtual Assist LLC strives for accurate translations, the customer acknowledges that:

  • Certain technical terms or phrases may not have direct translations or may be interpreted differently based on regional language variations.

  • Words and terminology used in one Spanish-speaking country may differ from those used in another.

  • Occasional typographical or linguistic errors may occur in the translation.

CNC Virtual Assist LLC is not liable for any misunderstandings, misinterpretations, or issues that arise due to translation discrepancies. Customers are encouraged to seek clarification from CNC Virtual Assist LLC if any part of the report is unclear or ambiguous.

11. Independent Entity Disclaimer 

CNC Virtual Assist LLC is an independent company and is not affiliated with, owned by, or a subsidiary of any other entity, including Toolquip. CNC Virtual Assist LLC operates as a fully separate legal entity. Toolquip has no ownership, management, or operational control over CNC Virtual Assist LLC and bears no liability for any services, reports, recommendations, or disputes related to CNC Virtual Assist LLC’s offerings. 

12. Privacy Policy Acknowledgment

By accessing, using, or engaging with CNC Virtual Assist LLC in any capacity—including but not limited to visiting our website, submitting inquiries, requesting services, or being included in our contact database—you acknowledge and agree to our Privacy Policy. This applies whether your information was provided directly by you, obtained through business interactions, or sourced from publicly available or industry-related channels. Export Compliance

and Usage Restriction Terms

By confirming agreement to these terms, the customer acknowledges and agrees to the following requirements related to export compliance, usage restrictions, and legal obligations.

1. Legal Acquisition and Export Compliance

The customer confirms that any machine for which CNC Virtual Assist LLC provides any troubleshooting services has been legally acquired and, if imported, has been imported in full compliance with the laws and regulations of the importing country. If the machine was exported from the United States, the customer confirms that it was exported in accordance with U.S. export control regulations, including those set by the Bureau of Industry and Security (BIS) under the Export Administration Regulations (EAR).

2. Prohibited End Uses and End Users

The customer agrees that the machine and any related components, software, or technology will not be used for any of the following prohibited purposes:

  1. Military End Use or Military End Users: The machine will not be used for military purposes or by military end users in any country subject to U.S. export restrictions.

  2. Nuclear Activities: The machine will not be used for nuclear explosive activities, including research, development, design, manufacture, or testing of nuclear explosive devices or unsafeguarded nuclear activities as defined in §744.2(a) of the EAR.

  3. Weapons of Mass Destruction: The machine will not be used in any capacity related to the development or production of chemical, biological, or nuclear weapons, or missiles capable of delivering such weapons.

  4. Prohibited Countries and Entities: The machine will not be exported, reexported, or transferred to any country, entity, or individual identified in the U.S. sanctions lists, including but not limited to those listed in the EAR, the International Traffic in Arms Regulations (ITAR), or the Office of Foreign Assets Control (OFAC).

 

3. Responsibilities for Reexport and Transfer

  1. Reexport Notification: If the customer intends to resell, reexport, or transfer the machine to another party or country, they agree to:

    • Obtain written authorization from the U.S. Bureau of Industry and Security (BIS) and any relevant government authority if required by law.

    • Ensure the receiving party complies with all applicable export and end use control regulations.

  2. No Unauthorized Transfers: The customer shall not transfer or allow the machine to be transferred to any unauthorized third party or country.

 

4. Software and Technology Restrictions

  1. Software Assurance: Any software or technology accompanying the machine is subject to U.S. export control regulations. The customer agrees not to export or release the software or related source code to nationals of restricted countries without obtaining the necessary licenses or authorizations.

  2. Direct Products: The customer agrees not to use the direct product of any software or technology associated with the machine in violation of U.S. export laws.

 

5. Indemnification

The customer agrees to indemnify and hold CNC Virtual Assist LLC harmless from any penalties, fines, or legal actions arising from violations of these export compliance terms, including but not limited to:

  • Misrepresentation of the machine’s acquisition or export status.

  • Unauthorized or prohibited end uses.

  • Violations of U.S. export control regulations, including unauthorized reexports or transfers.

 

6. Violations and Termination of Service

If CNC Virtual Assist LLC suspects that the customer has violated or is likely to violate these export compliance terms, CNC Virtual Assist LLC reserves the right to:

  • Suspend or terminate troubleshooting services without notice or refund.

  • Report the violation to appropriate government authorities if required by law.

 

7. Acknowledgment of Responsibility

By agreeing to these terms, the customer acknowledges that they understand their legal obligations regarding export compliance and will take all necessary steps to ensure the machine is used in full compliance with applicable laws.

For questions regarding export compliance, customers are encouraged to consult their legal counsel or contact the U.S. Bureau of Industry and Security (BIS) for further information.
